Samuel S. Price

Attorney

Sam focuses his practice on commercial real estate transactions, advising individuals, businesses and developers through the planning, acquisition, financing, development, leasing and disposition of land, office, retail, industrial, mixed-use properties in a variety of complex transactions. He also assists clients with the formation and negotiation of corporate and limited liability company organizational documents, and represents buyers and sellers of business assets and equity interests.

After graduating North Carolina State University with a Bachelor of Arts in Political Science, Sam attended Elon University School of Law where he graduated Cum Laude, finishing near the top of his class. While in law school, Sam was active in Elon’s Small Business and Entrepreneurship Clinic, where he advised early stage and existing businesses on a wide array of legal issues. Sam also worked in a variety of legal positions while in law school, ranging from city government to the legal department of a Fortune 250 company.

Sam truly enjoys practicing law and building positive relationships with his clients. Whether purchasing a commercial property, negotiating a complex lease, or selling a long-held family business, Sam effectively advises his clients from start to finish in order to assist them in achieving their goals.

When not practicing law, Sam enjoys spending time with his wife and golden retriever.

Counsel for ground-up construction financing of a 42,000 square foot charter school facility, including review and negotiation of loan documents and drafting numerous beneficial easements for construction and operation of the facility.

Counsel for Owner/Landlord in redevelopment project in Downtown Cary for conversion of existing industrial buildings to multi-brewery facility, including property acquisition, lease negotiation and construction financing.

Counsel for developer of new Class A apartment project in Downtown Cary, including acquisition of multiple parcels and review and negotiation of loan documents for construction financing.

Counsel for Owner/Operator of multiple convenience stores throughout North Carolina, including multiple acquisitions and dispositions of real property, convenience store assets and related petroleum equipment.

Counsel for single-family residential real estate developer for over 100 acre assemblage in Durham County.

Purchaser representation for acquisition, financing, development and leasing of office, retail and industrial projects.

Corporate representation of hospitality management group, including entity formation, preparation and negotiation of operating agreement and transfers in equity interests.

Representation of Landlords and Tenants in commercial leasing transactions, including tenant counsel for ground lease and option to purchase land related to construction of a multi-million dollar life science research and development facility in Wake County.

Purchaser and Seller representation for purchase and sale of land for single family, multi-family and mixed-use development projects.
