Sam leads the Commercial Real Estate practice group at StephensonLaw, advising developers, investors, business owners and individuals in a broad range of complex commercial real estate transactions throughout the region. With significant experience in the acquisition, financing, development, leasing, and sale of office, retail, industrial, and mixed-use projects, Sam provides practical, strategic counsel across all phases of the real estate lifecycle – negotiating letters of intent, conducting legal due diligence, preparing definitive agreements, and guiding clients through successful transactions. Sam is known for his responsive, solutions-driven approach and deep understanding of both legal and commercial considerations critical to closing complex deals.

In addition to his real estate work, Sam assists clients with the formation, governance and restructuring of business entities, and represents clients in mergers and acquisitions involving closely held businesses. His corporate practice often includes transactions involving real estate portfolios, development entities, and operating businesses with substantial property holdings.

Sam has been recognized by Business North Carolina magazine as a “Legal Elite” Real Estate attorney in North Carolina for 2023, 2024 and 2025, and by Cary Magazine as one of 2023’s “Movers & Shakers” for his extensive work throughout Wake County and beyond. Sam is also actively involved in the Cary Chamber of Commerce.

When not practicing law, Sam enjoys spending time with his wife, two sons and their golden retriever.

  • Counsel for developer in multi-phase acquisition, ground-up construction and leasing for flex/industrial project in Chatham Park, including negotiation of purchase and option agreements, construction loan documents and leases, analyzing complex restrictive covenants and property acquisition through tax-deferred exchanges. 

    Counsel for rapidly expanding multi-state fitness studio franchisee, including lease negotiations with institutional landlords and various business acquisitions.

    Counsel for developer in an adaptive reuse project in Downtown Cary involving the acquisition and conversion of existing industrial buildings into a multi-brewery project, including lease negotiation and construction financing.

    Counsel for ground-up construction financing and subsequent permanent financing of a 42,000 square foot charter school facility in Orange County, including review and negotiation of loan documents and drafting numerous beneficial easements for construction and operation of the facility.

    Counsel for developer of new Class A apartment project in Downtown Cary, including acquisition of multiple parcels and review and negotiation of loan documents for construction and permanent financing.

    Corporate representation of hospitality management group, including entity formation, preparation and negotiation of operating agreement and transfers in equity interests.

    Counsel for Owner/Operator of multiple convenience stores throughout North Carolina, including multiple acquisitions and dispositions of real estate, convenience store assets and related petroleum equipment.

    Purchaser and Seller representation for acquisition, financing, development leasing and disposition of office, retail, industrial, single and multi-family residential, and mixed-use projects.

    Representation of Landlords and Tenants in commercial leasing transactions, including tenant counsel for ground lease and option to purchase land related to construction of a multi-million dollar life science research and development facility in Wake County.
